1. Acceptance of Terms

By accessing or using the Kleado platform at kleado.com (the "Platform"), registering an account, or purchasing leads through our marketplace, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Kleado Technologies Private Limited ("Kleado," "we," "us," or "our"), a company registered under the Companies Act 2013.

2. Definitions

• "Platform" means the Kleado website, web application, APIs, and all associated services.
• "Lead" means a verified contact record including identifying information, intent signals, and AI score.
• "Marketplace" means the Kleado lead trading exchange where Users buy and sell Leads.
• "AI Score" means the machine-learning derived qualification score assigned to each Lead.
• "Credits" means the platform currency used to purchase Leads on the Marketplace.
• "Seller" means a User who lists Leads for sale on the Marketplace.
• "Buyer" means a User who purchases Leads from the Marketplace.

3. Use of the Platform

You must be at least 18 years of age and have the legal capacity to enter contracts to use the Platform. By creating an account, you represent and warrant that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account. Kleado shall not be liable for any loss resulting from unauthorised access to your account.

4. Lead Marketplace Rules

4.1 For Sellers

• You must own the rights to list any Lead data you sell on the Platform.
• All Leads listed must have been collected in compliance with applicable data protection laws including the Digital Personal Data Protection Act, 2023.
• You must not list fabricated, duplicated, or intentionally misleading Lead records.
• Kleado reserves the right to delist any Lead that fails our verification checks without prior notice.

4.2 For Buyers

• Purchased Leads are for your internal business use only and may not be resold outside the Kleado Platform.
• You agree to contact Leads only through lawful means and in compliance with TRAI regulations and anti-spam laws.
• You acknowledge that AI Scores are predictive, not guaranteed, and results may vary.

5. Payments & Billing

All payments are processed in Indian Rupees (INR) unless stated otherwise. Subscription fees are billed monthly in advance. Lead Credits purchased are non-transferable between accounts.

Kleado uses third-party payment processors including Razorpay and Stripe. By providing payment information, you authorise us to charge the amounts due in accordance with your chosen plan.

All prices are exclusive of GST at 18%. GST will be added at checkout for Indian users.

6. AI Scoring Disclaimer

Kleado's AI Score is a predictive metric derived from machine learning models trained on historical lead and conversion data. While we strive for accuracy, AI Scores are probabilistic estimates and do not constitute a guarantee of lead quality, conversion, or any business outcome.

Kleado expressly disclaims any warranty, express or implied, regarding the accuracy, completeness, or fitness for purpose of any AI Score or lead qualification output.

7. Intellectual Property

All content on the Platform — including but not limited to software, AI models, scoring algorithms, visual design, trademarks, and documentation — is the exclusive property of Kleado Technologies Private Limited and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes. You may not reproduce, reverse-engineer, modify, distribute, or create derivative works of any Platform content.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable law
• Scrape, harvest, or extract data from the Platform through automated means
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure
• Upload or transmit malicious code, viruses, or disruptive software
• Impersonate any person or misrepresent your affiliation with any entity
• Use purchased Leads for spam, harassment, or unsolicited bulk communication
• Circumvent or disable any security feature of the Platform

9. Termination

Kleado may suspend or terminate your account at any time, with or without notice, for breach of these Terms or for any conduct that we reasonably believe is harmful to the Platform, other Users, or third parties.

Upon termination, your right to use the Platform ceases immediately. Unused Credits will be handled in accordance with our Refund & Cancellation Policy.

10. Limitation of Liability

To the maximum extent permitted by law, Kleado, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or Marketplace.

Our total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the total fees paid by you to Kleado in the three (3) months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

We encourage resolution of disputes amicably. For unresolved matters, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.
